Client Responsibilities & Project Requirements
Accurate Information: You agree to provide accurate, complete, and timely information, creative briefs, content, logos, and approvals necessary for project execution.
Content Authorization: You guarantee that all text, images, logos, trademarks, and materials provided to Divine Art Lab are owned by you or that you have proper legal authorization to use them.
Approval Timelines: You agree to review deliverables and provide feedback/approval within the mutually agreed timeframe to prevent project delays.
Payment Terms & Invoicing
Payment Structure: Services are rendered based on agreed proposals, quotations, or milestone schedules. An advance payment (deposit) is required before work commences.
Invoicing: Final deliverables, source files, or site deployments will be released upon receipt of full and final payment.
Taxes: All applicable government taxes (including GST) will be levied on invoices as per Indian tax laws.
Intellectual Property Rights
Client Ownership: Upon receipt of full payment, all custom design assets, final video exports, and website code developed specifically for your project will belong to you.
Agency Portfolio Rights: Divine Art Lab retains the right to display completed projects, designs, and portfolio previews on our website and marketing materials for promotional purposes, unless covered under a signed Non-Disclosure Agreement (NDA).
Third-Party Assets: Stock photos, third-party software, plugins, and fonts used in your project remain the intellectual property of their respective owners and are subject to their licensing terms.
Project Revisions & Modifications
Every project includes a specified number of revision rounds as defined in the project scope/proposal.
Requests for major revisions, structural redesigns, or additions outside the original scope of work will be billed separately as additional work.
Limitation of Liability
To the maximum extent permitted by applicable law:
Divine Art Lab shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use of our services or website.
We are not responsible for website downtime, server failures, or performance issues caused by third-party hosting providers, domain registrars, or external API modifications.
Termination of Services
Either party may terminate a project agreement by providing written notice if the other party breaches material terms.
In the event of termination, the client shall pay for all work completed up to the date of termination as per our Cancellation & Refund Policy.
Governing Law & Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes or claims arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts in Ghaziabad/Gautam Buddha Nagar, Uttar Pradesh.
Changes to Terms and Conditions
We reserve the right to update or modify these Terms and Conditions at any time without prior notice. Changes will become effective immediately upon posting to our website.
